Referral Program Terms & Conditions

1. Program Overview

The BrikFi Referral Program (the "Program") is a promotional initiative offered by BrikFi Inc. ("BrikFi," "we," "us") that rewards eligible participants for joining the BrikFi early access list and referring new members. By participating in the Program, you agree to these Referral Program Terms & Conditions (the "Referral Terms"), which supplement and are incorporated into the BrikFi Terms of Service and Privacy Policy.

2. Eligibility

To participate in the Program, you must:

• Be a legal resident of the United States of America;
• Be at least eighteen (18) years of age or the age of majority in your state, whichever is greater;
• Provide a valid, unique email address;
• Successfully verify your email address by clicking the verification link sent to you; and
• Agree to these Referral Terms, the Terms of Service, and the Privacy Policy.

Each individual may maintain only one (1) account in the Program. Multiple accounts per person are prohibited.

3. Reward Structure

3.1 Sign-Up Reward

Each eligible participant who completes email verification will be allocated twenty-five (25) BRIK tokens. This allocation is contingent on email verification and is tracked upon verification.

3.2 Referral Rewards

Participants may earn additional BRIK tokens by sharing their unique referral link with others. Referral rewards are credited according to the following tiered structure:

• Referrals 1 through 5: Five (5) BRIK tokens per successful referral (maximum of 25 BRIKs from this tier).
• Referrals 6 and beyond: One (1) BRIK token per successful referral.

A "successful referral" is defined as a new user who (a) signs up using the participant's unique referral link, (b) provides a valid email address, and (c) successfully verifies their email address.

Participants agree to the following rules when sharing their referral link:

• No Self-Referral. Participants may not refer themselves using alternate email addresses, aliases, or any other method.
• No Spam. Referral links may not be distributed through unsolicited communications, including bulk email, SMS, or any method that violates the CAN-SPAM Act of 2003, the Telephone Consumer Protection Act (TCPA), or applicable state laws.
• No Fraud. Participants may not use bots, scripts, fake accounts, or any automated or deceptive means to generate referrals. Such activity will result in immediate disqualification and forfeiture of all rewards.
• No Paid Advertising. Referral links may not be promoted through paid advertisements (including but not limited to Google Ads, Facebook Ads, or sponsored posts) without BrikFi's prior written consent.
• Accurate Representation. Participants must not make false, misleading, or exaggerated claims about BrikFi, the BRIK token, or the value of rewards when sharing their referral link.

5. BRIK Token Disclaimer

BRIK tokens credited through the Program are utility tokens intended solely for use within the BrikFi platform. They are designed to provide access to platform features and governance participation. Members may elect to allocate their accrued utility rewards to acquire fractional equity in the BrikFi Neighborhood Fund I—a pooled investment vehicle utilizing an Institutional Fund of Funds (FoF) look-through architecture that targets core allocations within master real estate portfolios managed by premier institutional sponsors. The Fund's structural mandate is to back institutional vehicles executing transit-adjacent preservation, value-add multifamily restorations, and anti-displacement initiatives.

• BRIK tokens are not securities, investment contracts, or financial instruments of any kind, and are not intended to constitute an investment or to generate financial returns.
• BRIK tokens have no cash value, redemption value, or exchange value prior to the platform launch. They cannot be sold, transferred, gifted, or traded before launch.
• BrikFi makes no guarantee regarding the future value, utility, liquidity, or availability of BRIK tokens.

6. Data Collection

By participating in the Program, you consent to the collection and use of:

• Your email address, city, and state of residence;
• Your structured regional allocation choices, market selection checkboxes (target_markets), and open-ended alphanumeric neighborhood suggestions (custom_market_suggestion) submitted during registration;
• Your unique referral code and referral activity (number of referrals, BRIKs earned);
• Your email verification status; and
• Information about individuals you refer (solely to attribute the referral).

This information is processed in accordance with our Privacy Policy and may be shared with our service providers, including Supabase (database hosting) and Brevo (email communications), as described therein.

7. Program Modification and Termination

BrikFi reserves the right, at its sole discretion, to modify, suspend, or terminate the Program at any time, with or without notice. This includes the right to:

• Change the reward amounts, tier structure, or eligibility criteria;
• Disqualify any participant who violates these Referral Terms;
• Void rewards obtained through fraudulent, deceptive, or abusive means; and
• Terminate the Program entirely prior to the platform launch.

In the event of Program termination, BrikFi will make commercially reasonable efforts to honor rewards already earned by participants in good standing.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIKFI'S TOTAL LIABILITY TO ANY PARTICIPANT IN CONNECTION WITH THE PROGRAM SHALL NOT EXCEED THE NOMINAL VALUE OF BRIK TOKENS CREDITED TO THAT PARTICIPANT'S ACCOUNT. IN NO EVENT SHALL BRIKFI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE PROGRAM.

9. Governing Law

These Referral Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Referral Terms shall be subject to the dispute resolution provisions set forth in the BrikFi Terms of Service.

11. Frequently Asked Questions

Does my $25 deposit pay for the BRIKs?

No. Your $25 minimum deposit and your BRIK rewards are completely separate. The deposit goes into your BrikFi account and you can access those funds with your BrikFi card once the deposit has cleared. The 25 BRIKs are a free promotional reward credited on top of your deposit at launch — they cost you nothing. When allocated to equity ($BRIK-S), they represent an indirect fractional interest in our diversified institutional fund-of-funds portfolio rather than direct single-property titles.

How do I check my referral status?

Visit the Referral Dashboard and enter your email address and referral code (which you received after email verification). You can see your BRIK balance, referral count, and recent referral activity.

When are my BRIKs actually credited?

BRIKs are tracked immediately but formally credited at platform launch, once you (1) successfully qualify for a BrikFi account through the standard application process and (2) complete a minimum deposit of $25.00 USD.

Is there a limit to how many BRIKs I can earn?

There is no hard cap on total referral earnings. Your first 5 referrals earn 5 BRIKs each (25 BRIKs total from this tier), and every referral after that earns 1 BRIK each. Combined with your 25 sign-up BRIKs, there is no maximum.

Can I refer someone outside the United States?

Not at this time. The referral program is currently limited to legal residents of the United States who are at least 18 years old.
