Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and BrikFi Inc., a Delaware corporation ("BrikFi," "we," "us," or "our"). By accessing or using the BrikFi website located at brikfi.com (the "Site") or by submitting information through our consumer early access list, Business Early Access application, event registration system, or Careers portal (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. These Terms apply to all visitors, users, event registrants, and employment applicants.

If you do not agree to these Terms, you must not access the Site or use the Service.

2. Description of Service

The Site is a pre-launch informational website for BrikFi, a financial technology platform currently in development. The Service is limited to:

  • Providing general information about BrikFi's planned products, features, and mission.
  • Collecting email addresses from individuals who wish to receive updates about BrikFi's development and launch timeline (the "Consumer Early Access List").
  • Administering the BrikFi Referral Program, which rewards verified early access members with promotional, non-investment utility rewards ($BRIK) intended for platform governance.
  • Sourcing and cataloging regional consumer market preferences, waitlist allocation intent records, and community demand inputs to guide the future pipeline selection of the BrikFi Neighborhood Fund I.
Important Notice

The Site does not currently offer any financial products, services, accounts, investment opportunities, securities offerings, or token sales. Event ticket purchases are the only paid transactions available through the Site at this time.

2A. Referral Program

The BrikFi Referral Program allows eligible early access members to earn promotional BRIK token credits by referring new participants. The Program is governed by the Referral Program Terms & Conditions, which form an integral part of these Terms of Service.

By participating in the Referral Program, you acknowledge and agree that:

  • BRIK token rewards are promotional credits with no cash value prior to the platform launch;
  • The Program is available to US residents only and requires email verification;
  • BrikFi reserves the right to modify, suspend, or terminate the Program at any time; and
  • Violation of the Referral Program Terms may result in disqualification and forfeiture of all rewards.

2B. Event Registration & Tickets

BrikFi hosts in-person events, including the Growth Capital Lunch series. By registering for an event and purchasing a ticket through the Site, you agree to the following terms:

Ticket Pricing & Payment

  • Event tickets are sold at the price displayed on the event page at the time of purchase. Prices are listed in U.S. dollars and include applicable fees.
  • All payments are processed by Square, Inc., a PCI DSS-compliant third-party payment processor. BrikFi does not store your credit card number, expiration date, or CVV. All card data is transmitted directly from your browser to Square.
  • If a payment fails, your registration will not be completed. You may retry with a valid payment method.

Refund Policy

All Sales Are Final

Event ticket purchases are non-refundable. By completing your purchase, you acknowledge that you will not receive a refund for any reason, including but not limited to: inability to attend, scheduling conflicts, or dissatisfaction with the event.

In the event that BrikFi cancels or materially changes the event (including date, time, or location changes that make attendance impracticable), BrikFi will, at its sole discretion, either (a) issue a full refund to the original payment method or (b) offer a credit toward a future BrikFi event.

Capacity & Availability

Events have limited capacity. Registration is available on a first-come, first-served basis. When an event reaches capacity, registration will close automatically. The approximate number of remaining seats displayed on the Site is provided for informational purposes and may not reflect real-time availability.

Event Waiver

By registering for and attending a BrikFi event, you acknowledge and agree that:

  • You attend the event at your own risk;
  • BrikFi is not liable for any personal injury, property damage, or loss that may occur during the event;
  • BrikFi may photograph or record the event for promotional purposes, and by attending you consent to the use of your likeness in such materials; and
  • You will comply with all venue rules and BrikFi event guidelines.

2C. Testing the Waters Disclaimer

No Securities Offering

The interactive features of this platform—including the multi-select regional market checkboxes, custom neighborhood write-in input fields, 'I'm Interested' click-revealed member counters, and waitlist progress indicators—are part of a coordinated Testing the Waters campaign conducted pursuant to SEC Regulation CF and Regulation A+. These components are utilized solely to gauge non-binding retail consumer interest and demographic market allocation demand to guide the future strategic deployments of the BrikFi Neighborhood Fund I.

  • An offer to sell, or a solicitation of an offer to buy, any security, investment contract, or financial instrument;
  • A binding commitment, credit application, or guarantee of any credit line or financial product;
  • A promise of future returns, dividends, interest, or any financial benefit; or
  • An agreement to enter into any contractual or fiduciary relationship.

No money or other consideration is being solicited by the capital needs indication, and if sent in response, will not be accepted. No sales of any securities will be made or commitments to purchase accepted until the delivery of an offering statement qualified by the SEC. Any indication of interest involves no obligation or commitment of any kind.

2D. Careers Portal & Employment Applications

BrikFi maintains a Careers portal on the Site where prospective candidates may view open positions and submit employment applications. By submitting an application through the Careers portal, you acknowledge and agree that:

  • No Employment Contract. Job postings on the Site are informational only and do not constitute an offer of employment, an employment contract, or a guarantee of employment for any specific period. All employment at BrikFi is on an at-will basis.
  • Posting Modifications. BrikFi reserves the right to modify, suspend, or remove any job posting at any time, with or without notice, at its sole discretion.
  • Accuracy of Information. You represent and warrant that all information you submit in your application—including your name, contact details, LinkedIn profile, and pre-screening responses—is accurate, complete, and not misleading. Providing materially false information may result in disqualification from consideration or termination of any employment offer.
  • No Securities Offering. Job descriptions that reference BrikFi's token ecosystem, equity structures, or investment products are provided solely for role context. Nothing in any job posting constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation of any security or investment product.
  • Equal Opportunity. BrikFi is an equal opportunity employer. We do not discriminate on the basis of race, color, religion, sex, national origin, age, disability, genetic information, veteran status, sexual orientation, gender identity, or any other characteristic protected under applicable law.
  • E-Verify. BrikFi participates in the E-Verify program. Upon hire, we will provide the Social Security Administration (SSA) and, if necessary, the Department of Homeland Security (DHS) with information from your Form I-9 to confirm work authorization.
  • Data Handling. Applicant data is processed in accordance with our Privacy Policy, including the Employment Applicant Information section (Section 2.1.3).

3. Eligibility

You must be at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater, to access the Site or use the Service. By using the Site, you represent and warrant that you meet these eligibility requirements.

4. No Offer of Securities

Nothing on this Site constitutes an offer to sell, or a solicitation of an offer to buy, any security, investment contract, or financial instrument of any kind.

The Site contains descriptions of planned token structures and financial products that are currently in development. These descriptions are provided for informational purposes only and do not constitute:

  • An offer or sale of securities under the Securities Act of 1933, as amended (the "Securities Act"), or under the securities laws of any state or foreign jurisdiction;
  • Investment advice, a recommendation, or an endorsement of any particular investment strategy, security, or financial product;
  • A solicitation to participate in any offering under Regulation D, Regulation Crowdfunding (Regulation CF), Regulation A+, or any other exemption under the Securities Act; or
  • An invitation to enter into any binding contractual, financial, or fiduciary relationship.

Any future offerings of securities by BrikFi, if and when they occur, will be made only in accordance with applicable federal and state securities laws and regulations, through proper offering documents, and only to eligible investors as defined by applicable law at the time of such offering.

4A. Business Early Access Disclaimer

Important Notice — Business Early Access

The Business Early Access Application is an expression of interest only. Submitting the application does not constitute a credit application, loan agreement, binding commitment, or guarantee of credit approval.

By submitting the Business Early Access Application, you acknowledge and agree that:

  • No Credit Decision. BrikFi has not made, and will not make, any credit decision based on the information submitted through the Business Early Access Application. The application is used solely to gauge interest and prioritize early access.
  • No Offer of Credit. Nothing in the Business Early Access Application constitutes an offer, commitment, or guarantee to extend credit, a line of credit, or any financial product. Any future credit facility, if offered, will be subject to separate underwriting, eligibility requirements, community governance approval, and formal documentation.
  • Information Accuracy. You represent that the information you submit in the Business Early Access Application is accurate and complete to the best of your knowledge. Providing materially false or misleading information may result in disqualification from the program.
  • No Fiduciary Relationship. Submission of the Business Early Access Application does not create a fiduciary, advisory, lender-borrower, or any other professional relationship between you and BrikFi.

5. Token Disclaimers

5.1 BRIK Utility Token

References on the Site to "BRIK" describe a planned digital asset utility token intended solely for platform access, operational governance, and community voting rights. BRIK tokens possess zero embedded expectations of profit, dividend distribution, or passive financial appreciation. Conversion of value is structured strictly as an elective, user-initiated allocation event, where a member proactively chooses whether and when to direct their accrued utility rewards to acquire fractional shares of the BrikFi Neighborhood Fund I ($BRIK-S).

5.2 BRIK-S Security Token

References on the Site to "BRIK-S" describe a planned security token representing a fractional ownership interest in the BrikFi Neighborhood Fund I—a pooled investment vehicle operating under an Institutional Fund of Funds (FoF) look-through architecture. BRIK-S tokens, if and when qualified, will represent indirect interests in underlying diversified master portfolios managed by premier institutional real estate sponsors, targeting specific municipal preservation, value-add multifamily, and transit-adjacent infrastructure roadmaps.

  • Pursuant to an effective registration statement or a valid exemption from registration;
  • Through a registered broker-dealer or funding portal, as applicable under Regulation CF, Regulation A+, or Regulation D (Rule 506(b) or 506(c));
  • To investors who meet the applicable eligibility and suitability requirements; and
  • In compliance with all applicable federal and state "blue sky" laws.

No BRIK-S tokens are currently being offered, sold, or distributed. Any future offering will be accompanied by appropriate offering documents, including a prospectus, offering circular, or private placement memorandum, as required by law.

5.3 No Guarantee of Value

Neither BrikFi nor any of its officers, directors, employees, agents, or affiliates makes any representation or warranty regarding the future value, utility, liquidity, or performance of any token described on the Site. All investments involve risk, including the possible loss of principal. Past performance is not indicative of future results.

6. Forward-Looking Statements

The Site may contain forward-looking statements within the meaning of the Private Securities Litigation Reform Act of 1995. These statements relate to future events, plans, objectives, expectations, and intentions and are identified by words such as "will," "plan," "expect," "intend," "may," "anticipate," "believe," "designed to," and similar expressions.

7. Intellectual Property

All content, features, and functionality of the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof, are the exclusive property of BrikFi Inc. or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The trademarks, service marks, and logos used and displayed on the Site (including "BrikFi," "BRIK," "BRIK-S," and the BrikFi logo) are registered and unregistered trademarks of BrikFi Inc. Nothing on the Site should be construed as granting any license or right to use any trademark without the prior written permission of BrikFi.

8. User Conduct

You agree not to:

  • Use the Site or Service for any purpose that is unlawful or prohibited by these Terms;
  • Submit false, misleading, or fraudulent information, including but not limited to providing a false email address, business name, or financial data;
  • Attempt to gain unauthorized access to the Site, other user accounts, or any computer systems or networks connected to the Site;
  • Use any automated means (including bots, scrapers, or crawlers) to access the Site or collect data without our prior written consent;
  • Interfere with or disrupt the integrity or performance of the Site or its underlying infrastructure;
  • Transmit any viruses, worms, trojan horses, or other malicious code; or
  • Violate any applicable local, state, national, or international law or regulation.

9. Disclaimer of Warranties

THE SITE AND SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

BRIKFI DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

BRIKFI MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE CONTENT MADE AVAILABLE THROUGH THE SITE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BRIKFI INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to, use of, or inability to access or use the Site or Service;
  • Any conduct or content of any third party on the Site;
  • Any content obtained from the Site; or
  • Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

IN NO EVENT SHALL BRIKFI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS EXCEED ONE HUNDRED DOLLARS ($100.00 USD).

11. Indemnification

You agree to indemnify, defend, and hold harmless BrikFi Inc. and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Site or Service;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation; or
  • Your violation of any rights of a third party.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator and shall take place in Wilmington, Delaware (or via video conference at the arbitrator's discretion).

CLASS ACTION WAIVER. YOU AND BRIKFI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

13. Modifications to Terms

BrikFi reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide notice via email to the address you provided. Your continued use of the Site after the effective date of any revised Terms constitutes your acceptance of those Terms.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

15. Waiver

The failure of BrikFi to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by BrikFi.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and BrikFi with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the subject matter hereof.

17. Electronic Communications

By providing your email address and using the Service, you consent to receive electronic communications from BrikFi. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing, in compliance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001 et seq.
